Meat Supply Agreement
1.1.1 The following conditions apply (i.e. not exclusively) to the supply of meat, meat products and other related items. These terms and conditions of sale apply to all agreements concluded by VRC. MeatMed.Ltd. The terms and conditions also apply to all subsequent agreements and/or other agreements between VRC. MeatMed.Ltd and buyer. The buyer used here is considered VRC. The actual start of the execution of an agreement with the customer also represents an order confirmation. 6.1. The delivered items are considered to be in good condition if they meet the national and legal veterinary and quality requirements of the European Union at the time of the contract, if they comply with the expressly agreed specifications and if they are adapted to the objective expressly stated by the purchaser at or before the conclusion of the contract. 12.2. In the case of an agreement on the transport of goods outside the Netherlands, the “INCOTERMS 2010” decided by the International Chamber of Commerce of Paris (France) apply, provided that the terms of sale used by the parties are interpreted under the conditions provided by the “INCOTERMS 2010” to the extent that these conditions are applicable. 12.1. The agreement and its creation are governed exclusively by Dutch law. The applicability of Wiener`s right to sell (CISG) of April 11, 1980 is expressly excluded.
4.5. The purchaser cannot terminate the contract because of the incomplete failure of VRC MeatMed Ltd to deliver or charge within the agreed time, which renders it in default in accordance with Article 4.4, only to the extent that the agreement has not yet been concluded and cannot reasonably be compelled to pursue the part of the agreement that has not yet been fulfilled. In case of force majeure, the obligation to deliver or load is transferred at no cost. 11.1 The supplier is not held responsible for delays or non-compliance with its obligations: if the delay or failure is due to events or circumstances that are not subject to its proper control, including, but not limited to, acts of God, strikes, lockouts, accidents, wars, fires, failure of any communication, telecommunications or computer system, failure of facilities or machinery or default or unavailability of raw materials from a natural source of supply, and the supplier is entitled to an appropriate extension of its obligations. 5.3 In the event of a late payment of the price due, the buyer must pay interest on the statutory interest of Cyprus plus two (2) per cent on the depending portion of the due-in-waiting price until the full date of payment. Vrc. MeatMed.Ltd may suspend the performance of all obligations arising from the contract until the payment of the sums due is fully paid. If the payment of the sums owed is not fully made within an extension of the payment period granted by VRC. MeatMed.Ltd, VRC. MeatMed.Ltd may terminate all or part of the contract, in whole or without prejudice to its other rights, in particular its right to compensation. 2.4 If a contract with VRC is terminated. MeatMed.Ltd, VRC.
MeatMed.Ltd are entitled to charge the costs incurred and/or borne by the other party with a minimum amount of 15% of the contractual value. 4.7. VRC MeatMed Ltd may suspend or suspend delivery or loading or cancel if the purchaser fails to comply with its obligations to VRC MeatMed Ltd for any reason and as part of an agreement.
